General Terms and Conditions
Unattended Card Payments Inc (UCP) is bound by written orders only, verbal agreements and quotations which are unconfirmed in writing are not binding on UCP. Goods specified in writing shall be considered part of the purchase agreement. Subsequent amendment of the order by the purchaser shall not exempt them from paying for goods that have already been produced. UCP reserves the right to annul the order in case of acts out of our control.
Equipment shipped within the state of Nevada or picked up from UCP’s offices is subject to Nevada state sales tax unless the purchaser can produce a valid Nevada state reseller certificate. Shipments delivered outside of Nevada will not have sales tax applied and it is the purchaser’s responsibility to ensure all local sales or use taxes are paid.
3. Payment Terms
Payment terms will be notified at the time an order is confirmed.
4. Delivery/Non-Standard Products
Delivery dates are estimated only and UCP shall not be liable for delay in delivery. UCP reserves the right to alter agreed delivery dates due to sufficient cause including information supplied by manufacturers, any changes in material, wages, rates of currency exchange, import/export restrictions and measures introduced by Federal authorities, etc. With respect to the supply of non-standard or bespoke goods, UCP reserves the right to deviate from the ordered quantity by plus or minus 10%.
5. Cancellation of an order
UCP shall not be obliged to accept any cancellation of an order, this may be considered but only on standard goods and at UCP’s discretion. Such orders will be subject to a 25% against order value handling charge and in any case, the product may not be returned later than three months from the purchase date. Products that have been injected or manipulated in a way that resale is not possible will not be eligible for return.
Complaints must be made in writing within ten days after goods have been received.
7. Limited Liability
In event of a claim against UCP in respect of any matter whatsoever, UCP’s liability, if any, shall be limited to the replacement of the goods sold. In no circumstances whatsoever shall UCP be liable for consequential loss/damage.
Once the client has paid for the goods as ordered in full, they will belong to the client, until then UCP has the right to enter the client’s premises and remove the goods therefrom, if said goods are no longer available, other goods equivalent to the value may be removed. The contract of sale shall be canceled by mutual consent in respect of any goods which UCP repossesses in accordance with this clause. The contract shall be subject to Nevada law.
No variations to these conditions shall be effective unless expressly made in writing by authorized representatives of UCP.
10. Description of goods.
Description of the goods contained in UCP’s acknowledgment of the client’s order shall be deemed to be correct unless the client notifies UCP in writing within five days of receipt. UCP cannot be held responsible for any inaccuracies in specifications and literature passed on from UCP’s suppliers.
UCP’s employees are not authorized to make representations as to the life or wear of the goods supplied or that they will be suitable for particular conditions. UCP hereby excludes any oral representation and defers to manufacturer-provided specifications in all cases.
If for any reason beyond the client’s control the client is unable to accept delivery of the goods at the time when they are due, then UCP, may if its storage facilities permit, store the goods, taking all reasonable steps to prevent their deterioration until the actual delivery takes place. The client is responsible for all reasonable costs, including insurance, etc. In all other cases however where the client refuses or neglects to take or accept delivery of goods UCP shall be under no obligation to safeguard said products and shall not be under any liability to the client for any deterioration in the goods arising from the time when delivery was offered and the actual date of delivery.
All contracts will remain binding unless otherwise agreed by UCP, their client, and respective teams.
